    Online application to OCR

    Application, MOA, AOA and director/shareholder documents uploaded through the OCR online system.

    सरकारी शुल्क भुक्तानी

    Government fee payment

    Fee is fixed by your authorized capital (see our fee calculator) and paid via eSewa, ConnectIPS or mobile banking.

    Certificate of Incorporation

    OCR issues your certificate: your company is now a separate legal entity, ready for PAN registration and bank account opening.

Documents You'll Need

  • Citizenship certificate / passport of all shareholders and directors
  • Passport-size photos of all shareholders and directors
  • Proposed company name (2–3 options)
  • Draft objectives, authorized and issued capital, share ratio
  • Proof of registered office address (rent agreement or land ownership certificate + utility bill)
  • DOI approval letter, if any shareholder is a foreign investor

How long does company registration take in Nepal?+

With complete documents, name reservation to Certificate of Incorporation typically takes 5–7 working days. Name reservation itself can be same-day.

What's the difference between Pvt. Ltd. and Public Ltd.?+

A private company can have 1–101 shareholders and cannot offer shares to the public. A public company needs a minimum of 7 shareholders and higher paid-up capital, but can raise capital publicly and list on NEPSE.

How much does it cost to register a private limited company?+

Can a foreigner own 100% of a company in Nepal?+

Yes, OCR requires proof of a registered office address: either a rent agreement or ownership certificate, along with a recent utility bill in the same name.
